Standard Terms of Use

THIS MASTER AGREEMENT WITH ALL RELEVANT ATTACHMENTS AND REFERENCES DOCUMENTS GOVERNS YOUR ACQUISITION AND USE OF ADONIS PRODUCTS AND SERVICES. BY ACCEPTING THIS AGREEMENT BY ELECTRONIC SIGNATURE OR BY PROVIDING AN ORDER OR STATEMENT OF WORK, YOU AGREE TO THE TERMS OF THIS AGREEMENT. AS YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THESE TERMS AND CONDITIONS. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE ADONIS PRODUCTS AND SERVICES. THE PARTIES AGREE THAT THIS AGREEMENT MAY BE ELECTRONICALLY SIGNED. THE PARTIES AGREE THAT THE ELECTRONIC SIGNATURES APPEARING ON THIS AGREEMENT ARE THE SAME AS HANDWRITTEN SIGNATURES FOR THE PURPOSES OF VALIDITY, ENFORCEABILITY, AND ADMISSIBILITY.
You may not access any Adonis Products or Services if You are a direct competitor or if You access for purposes of monitoring their availability, performance, or functionality, or for any other benchmarking or competitive purposes. except with Adonis’ prior written consent.
SaaS Addendum

This SaaS Addendum incorporates by reference the terms of the Master Agreement effective on the date set forth in the referencing Schedule between Adonis and Customer. Any capitalized terms used in this SaaS Addendum shall have the meanings given in the Master Agreement unless otherwise provided herein.
On-Premises Addendum

Any capitalized terms used in this On-Premises Software Addendum shall have the meanings given in the Master Agreement unless otherwise provided herein.
Services Addendum

1.1. This Services Addendum incorporates by reference the terms of the Master Agreement effective on the date set forth in the referencing Schedule between Adonis and Customer. Any capitalized terms used in this Services Addendum shall have the meaning given in the Master Agreement unless otherwise provided herein.
Data Processing Agreement
The AdonisHR application processes personal data on behalf of customers who use the application to support their business. The purpose of these Data Processing Terms is to ensure the contractual arrangements between us in respect of that data processing, meet the strict requirements of Data Protection Laws including Regulation (EU) 2016/679 (the GDPR) and the UK GDPR and. These requirements mean this document must record specific contractual arrangements and instructions. These Data Processing Terms forms part of, and is incorporated into, your Master Software Agreement with Adonis. Words and phrases in these Data Processing Terms have the same meaning as in the Master Software Agreement (unless otherwise indicated).
Service Level Agreement
This Agreement represents a Service Level Agreement ("SLA" or "Agreement") between Adonis and Customer for the provisioning of Support services required to sustain the Adonis Software.
